These Terms of Use (“Terms”) govern your access to and use of stratavantage.com(the “Site”), operated by Strata Vantage, Inc. (“Strata Vantage,” “we,” “us”). By using the Site you agree to these Terms. If you do not agree, do not use the Site.
These Terms govern this marketing site only. If you are an authenticated customer of the Strata Vantage software platform at app.stratavantage.com, a separate customer agreement governs your use of that platform and prevails over these Terms in any conflict.
1. Who can use the Site
The Site is intended for adult business users: fund managers, fund investors, mineral and royalty owners, working-interest holders, family offices, and the professionals who advise them. You must be at least 18 years old to use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Permitted use
We grant you a limited, non-exclusive, non-transferable, revocable license to view and use the Site for your internal evaluation and business purposes. All other rights are reserved.
3. What you may not do
You agree not to:
- use the Site for any unlawful purpose or in violation of these Terms;
- access or attempt to access non-public areas of the Site, our systems, or our service providers’ systems;
- probe, scan, or test the vulnerability of the Site or its infrastructure, or breach any security or authentication measure;
- scrape, mass-download, frame, mirror, or otherwise extract Site content using automated means without our prior written consent;
- submit forms with information that is false, that impersonates another person, or that you are not authorized to provide;
- interfere with or disrupt the Site, including through denial-of-service tactics, malware, or excessive request volume;
- use the Site or its content to train a machine-learning model or large language model without our prior written consent;
- reverse engineer or attempt to derive the source code or underlying ideas of any portion of the Site beyond what is permitted by applicable law.
4. Intellectual property
The Site and its content, including text, graphics, design, diagrams, screenshots, sample outputs, and the Strata Vantage name and logo, are owned by Strata Vantage or its licensors and are protected by United States and international intellectual-property laws. Nothing in these Terms transfers ownership of any of it to you. You may not copy, modify, distribute, or create derivative works from Site content except as expressly permitted in writing or by applicable law.
Sample data, dashboards, and screenshots on the Site (including any funds, wells, or owners shown) are illustrative and fictional. They do not represent any real customer, fund, well, or person.
5. Submissions through forms
If you submit information through a contact, demo-request, or early-access form, you confirm that what you submit is accurate, that you have the right to share it, and that we may use it to respond to your inquiry, evaluate fit, and improve our products and services. Our handling of personal information is described in our Privacy Policy.
6. No professional advice; not a securities offering
Strata Vantage builds reporting and intelligence software. The Site, and any content on it, is provided for general informational purposes only. It is not, and must not be construed as:
- an offer or solicitation to buy or sell any security or interest;
- investment, tax, legal, accounting, engineering, geological, reservoir, or other professional advice;
- a recommendation that any particular transaction, investment, well, fund, or strategy is suitable for any specific person.
Strata Vantage is not a broker-dealer, investment adviser, fund manager, fund administrator, or fiduciary. We do not raise capital, sell interests in any fund, or hold customer funds or securities. Before making any investment, operational, or financial decision, you should consult your own qualified professional advisers.
Any examples of returns, performance, type curves, decline forecasts, valuations, or other figures shown on the Site are illustrative and not a prediction, guarantee, or commitment of future results.

10. Limitation of liability
To the fullest extent permitted by law, in no event will Strata Vantage, its affiliates, or any of their respective officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of, or inability to use, the Site, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Strata Vantage was advised of the possibility of such damages.
In any event, Strata Vantage’s total aggregate liability arising out of or related to the Site or these Terms will not exceed one hundred U.S. dollars (USD $100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Strata Vantage and its affiliates, officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of (a) your use of the Site, (b) your violation of these Terms, (c) your violation of any law or of any third-party right, or (d) any content or information you submit through the Site.
12. Changes to the Site and these Terms
We may change, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms; when we do, we will update the “Effective” date at the top of this page. If a change is material, we will give reasonable notice. Your continued use of the Site after the effective date of an update constitutes acceptance of the updated Terms.
13. Termination
We may suspend or terminate your access to the Site at any time for any reason, including violation of these Terms. The sections of these Terms that by their nature should survive (including Sections 4, 6, 9, 10, 11, 14, and 15) will survive termination.
14. Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. If you are a consumer entitled by applicable law to bring claims in your local courts, nothing in this section limits that right.
15. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and Strata Vantage regarding the Site, and supersede any prior agreement on that subject. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition, or sale of assets.
